1. What is
Governance Consulting?
A:
It is a consultancy specialized in Corporate Governance system for
senior management of companies, foundations and institutes to maintain
the organizations control.
2. Who runs the Project?
A:
The Senior Partner Roberto Cintra Leite himself runs the project
together with the client’s team of senior management, including the it’s
board of directors.
3. How long does it takes?
A:
A project takes 6 (six) months to format the Governance system and 6
(six) ad 6 (six) months more to implement, totaling 12 months.
4. How much it costs?
A:
The standard Project has an estimated value that can vary
depending on the increase or decrease in the scope of the project after
of the initial diagnosis of Governance system. The payments in 13 or 19
installments is made monthly in accordance with the customer's cash
flow.
5. How is the Project developed?
A:
The Senior Consultant meets with the client project team once every
fifteen days, in a three (3) hours meeting. Based on the project
schedule sent to the client, the team defines the basic criteria of the
system. Minutes of the meeting will bee sent to the client. All
legal-administrative documents will be prepared and reviewed by the
consultant up to the third version of the same.
6. What is the
project results?
A:
The result is the definition of the organizational structure
(organization chart) with the Councils, Executive Committees, Audit and
other auxiliary positions with description of their roles,
responsibilities and tasks as well as the legal documents, such as
Internal control regulations, contracts, Bylaws, the, Shareholder’s
Agreement, Codes of Ethics and other legal and administrative documents.
7. What are the

A:
The system ensures the governance of the company by the implementation
of processes and procedures for the management and internal control for
the Board of Directors. The creation of other organs of the system, such

values of the founders of the company.

A:
